Abstract
"Article 17 paragraph (1) of the Regulation of the Minister of Law and Human Rights Number 21/2021 states that an individual company must change its legal entity status to a capital partnership company if the individual company has more than 1 (one) shareholder and/or does not meet the criteria for microenterprises. and small. However, this obligation is not accompanied by a strict sanction arrangement, this clearly obscures the imperative norms contained in it, so that there are no firm legal consequences in its enforcement. This research is a legal research that uses a statutory approach and a concept approach. This thesis discusses the ratio legis individual company is obliged to change the status of a legal entity to become a capital partnership company. In addition, this thesis also discusses the legal consequences of an individual company that does not fulfill the obligation to change the status of a legal entity to a capital partnership company. The results of this study state that the emergence of the obligation of an individual company to change its legal entity status to a capital partnership company is to prevent the control of an individual company as an alter ego in order to take advantage of the facilities obtained by an individual company that should no longer be available because it is no longer available. reflects the characteristics of a sole proprietorship. Therefore, the government is expected to immediately formulate strict sanctions arrangements in order to create a deterrent effect on the nonimplementation of the obligation to change the legal entity status of an individual company based on Article 17 paragraph (1) Regulation of the Minister of Law and Human Rights No. 21/2021. "
