Abstract

Pertanggung jawaban pidana korporasi dapat diberikan kepada Korporasi dan/atau kepada pengurus dalam hal ini Direksi. Dalam hal ini Korporasi dapat dimintai Pertanggung jawaban pidana apabila tindak pidana yang dilakukan terjadi merupakan perbuatan intra vires atau tindakan yang sesuai dengan maksud dan tujuan korporasi. Dan dalam hal Direksi yang dimintai pertanggung jawaban pidana apabila perbuatan yang dilakukan oleh direksi merupakan perbuatan Ultra Vires maupun perbuatan yang melanggar Fiduciary Duty. Namun apabila perbuatan direksi telah sesuai dengan maksud dan tujuan Korporasi dan telah melakukan prinsip kehati-hatian maupun itikad baik, tetapi tetap terjadi tindak pidana, maka direksi tersebut dapat menggunakan prinsip Business Judgment Rule sebagai perlindungan hukum. Oleh sebab itu, business judgment rule sering digunakan untuk menjamin keadilan bagi para Direksi yang mempunyai itikad baik. Prinsip ini bertujuan untuk mencapai keadilan, khususnya bagi para direktur sebuah perusahaan terbatas dalam melakukan suatu keputusan bisnis.
