Abstract

The sale or purchase contract agreement characteristics shall specify a postponement / delay condition and also a sale authority clause, which is normally in form of an irrevocable authority. The postponement / delay condition in a sale or purchas e contract agreement is an application form of a balance principle to all side namely the seller and the buyer, whereas the irrevocable sale authority (absolute authority) is an integral part of a sale or purchase contract agreement. The type of this resea rch is a normative legal research by employing a statute approach, concptual approach, and case approach. Base on such analysis, the characteristics of sale or purchase contract agreement specifying a postponement / delay condition and also a sale clause, which is normally in form of an irrevocable authority, will be detected. In pratice, such sale or purchase contract agreement must be made by observing legalprinciples so that to have contractual binding power.
