Abstract

Based on the comprehend that contract is a process which consist of drafting phase and conducting phase, we may conclude that e-procurement is a pre-contractual phase of drafting phase. As according to contractual independence principle. the parties of the contract are liberated to decide clauses of contract as long as such clauses accomplish to regulations and public policies. Ther parties of the contract have their own rights and obligations which should be carried out as the results of a valid contract (a contrac shall prevail as statute for the parties). Therefore. in the event that certain party of the contract breaches the contract. there is legal consequences which shall be settled as according to their agreement (litigation or non-litigation).
